Resale Policy

1. Authorized Resellers. Only entities or individuals which have a fully-executed and active (i.e. non-terminated) Product Reseller or Product Distributor agreement (“Reseller Agreement”) with iodyne are considered Authorized Resellers. iodyne permits only Authorized Resellers to purchase product(s) from iodyne for the purpose of resale.
2. Minimum Resale Price. It is iodyne’s unilateral policy that products sold to Authorized Resellers may only be resold to end customers at those product(s) suggested MSRP price(s) (“Minimum Resale Price”)  as published on the iodyne Store in the last 60 days.
3. Violation Consequences. In the event an Authorized Reseller sells one or more products for below Minimum Resale Price, iodyne reserves the right to:
   1. Issue a written warning to the Authorized Reseller on the first communicated violation in a calendar year (“Initial Violation”).
   2. Terminate the Reseller Agreement between iodyne and the Authorized Reseller on any subsequent violation within 12 months of the Initial Violation.
